Welcome to AREIA Synthetics, Inc. (“AREIA,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our websites, AI systems, synthetic humans, APIs, content, and related services (collectively, the “Services”).

By using the Services, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1. Use of the Services

You may use the Services only for lawful purposes and in accordance with these Terms. You must be 18 years or older to use the Services.

A. Consumer Use

When interacting with AREIA through voice, text, or synthetic human interfaces, you understand that responses are generated by artificial intelligence and are provided for informational, educational, and customer-support purposes.

AREIA is not a licensed real estate agent, broker, attorney, lender, insurance provider, or professional advisor. You are responsible for verifying any recommendations before taking action.

B. Enterprise Use

If you access AREIA through a company, brokerage, franchise, website, mobile app, CRM, MLS-connected vendor, or enterprise system, your use may also be subject to that organization’s policies, agreements, and licenses.

C. Prohibited Uses

You agree not to:

• Use the Services in violation of any law or regulation
• Attempt to reverse-engineer, extract, or replicate AI models
• Interfere with service integrity or security
• Misrepresent your identity or affiliation
• Submit harmful, malicious, or infringing content
• Use the Services to generate harmful, illegal, discriminatory, or unethical outputs
• Circumvent authentication or access controls

AREIA reserves the right to suspend or terminate access for violations.

2. Ownership and Intellectual Property

All content associated with the Services—including AI models, synthetic human avatars, voice assets, software, visual designs, animations, interfaces, data structures, and documentation—is owned exclusively by AREIA Synthetics, Inc. or its licensors.

You receive no ownership rights to the Services or any underlying technology.

A. Output Ownership

AI-generated outputs may be used by you for lawful purposes, subject to:

• These Terms
• Third-party rights
• MLS or enterprise licensing restrictions
• Applicable law

AREIA retains all rights to underlying models, training data, and generative technology.

B. Restrictions on Use of AREIA Outputs

You may not:

• Claim authorship of AREIA’s underlying technology
• Use outputs to create or train competing models
• Publish outputs that violate law or infringe third-party rights
• Present outputs as verified professional advice

3. MLS and Licensed Data Restrictions

A. AREIA Does Not Store or Retain MLS Data

When integrated in enterprise environments (e.g., via RELIANCEai):

• AREIA does not receive or store MLS listing data, sold data, pending data, or restricted datasets
• AREIA accesses only approved outputs delivered through secure vendor systems
• All licensed data remains controlled by the MLS-approved vendor and the participating brokerage

B. AREIA Does Not Train Global Models on MLS Data

AREIA’s global models are not trained on MLS-restricted content.

C. Enterprise Licensing Responsibilities

If you use AREIA through an enterprise system, your access is governed by that organization’s MLS rules and agreements. You may not access or request content outside those permissions.

Violations of MLS rules may result in access restrictions.

4. User Content and Submissions

By submitting content to the Services, you grant AREIA a limited, worldwide, non-exclusive license to process that content for purposes of:

• Generating responses
• Operating and improving the Services
• Securing and monitoring system integrity
• Supporting enterprise deployments

We do not use your content to train global models where prohibited (e.g., MLS content).

You represent and warrant that:

• You have the right to submit the content
• The content does not violate law or third-party rights
• The content does not include prohibited or harmful material

5. Accuracy, Limitations, and No Professional Advice

AREIA’s outputs are generated using artificial intelligence. While we strive for accuracy and safety:

• Outputs may be incomplete, inaccurate, or outdated
• Outputs may not reflect the latest property data, legal standards, or regulations
• Outputs do not constitute professional, financial, legal, or real estate advice

You should not rely solely on AI-generated outputs to make important decisions.

AREIA is not responsible for actions taken based on AI-generated responses.

6. Service Availability and Modifications

We may modify, suspend, or discontinue any portion of the Services at any time, including features, access permissions, and integrations.

We may also update these Terms periodically. Your continued use of the Services constitutes acceptance of updated Terms.

7. Privacy

Your use of the Services is governed by our Privacy Policy, including strict controls around MLS data handling. By using the Services, you consent to the practices described in the Privacy Policy.

8. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind. AREIA disclaims all express or implied warranties, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy of outputs
• Availability or reliability of services

AREIA does not guarantee error-free performance or real-time accuracy.

9. Limitation of Liability

To the maximum extent permitted by law, AREIA is not liable for:

• Errors or inaccuracies in AI-generated content
• Decisions made based on AI outputs
• Service interruptions
• Data loss or security breaches
• Damages related to integrations or third-party systems
• Indirect, incidental, or consequential damages

AREIA’s total liability is limited to the amount paid for the Services (if any) in the prior twelve months.

10. Indemnification

You agree to indemnify and hold harmless:

• AREIA Synthetics, Inc.
• Its affiliates
• Officers, directors, employees, and contractors

…from claims arising out of your misuse of the Services, violations of these Terms, MLS rule breaches, or harmful use of outputs.

11. Third-Party Links and Integrations

The Services may interact with or link to systems operated by third parties, including brokerages, MLS vendors, CRMs, apps, and external platforms. AREIA is not responsible for third-party practices. Their terms govern your use.

12. Termination

We may suspend or terminate access for violations of these Terms, misuse, legal requirements, security concerns, or MLS licensing restrictions.

Upon termination, your right to use the Services ends immediately.

13. Governing Law

These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved in Delaware courts unless otherwise required by law.
